Henderson County Food Finder — Terms of Use

1. Acceptance of These Terms

These Terms of Use (the "Terms") govern access to and use of the Henderson County Food Finder website located at fastroots.org/food-finder and also reachable at hcfoodfinder.org (the "Food Finder"), together with any related pages, features, and embedded versions of the Food Finder displayed on third-party websites designated by the Community Foundation of Henderson County (collectively, the "Site") by a User, whether an individual on behalf of himself or herself or on behalf of an entity (each a "User" or "you").

The Site is operated by FastRoots LLC, a North Carolina limited liability company ("FastRoots," "we," "us," or "our"), in partnership with the Community Foundation of Henderson County ("CFHC"). The food assistance provider information presented on the Site is owned and curated by CFHC.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference and available at fastroots.org/food-finder/privacy (the "Privacy Policy"). If you do not agree to the Terms and the Privacy Policy, you may not use the Site.

We may update these Terms and the Privacy Policy from time to time. Material changes will be reflected by updating the "Last Revised" date above. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms and/or the updated Privacy Policy, you may not use the Site.

2. Purpose of the Site

The Site is a free public directory and map of food assistance providers serving Henderson County, North Carolina. It is offered as a community resource to help neighbors locate pantries, hot meal programs, and other food assistance services.

The Site is intended to provide general informational guidance only. It is not a substitute for direct contact with a food assistance provider, a referral from a social worker or case manager, or emergency assistance. If you are in immediate need, please contact the provider directly using the information shown, or dial 211 for general human services referrals.

3. No Account Required

The Site does not require you to create an account, log in, or submit personal information in order to view food assistance providers. You may browse, search, and use the map features without registering.

If, at any time, the Site offers optional features that involve submitting information (for example, requesting an update to a provider listing), those features will be governed by the Privacy Policy and any additional terms presented to a User at the point of submission.

4. Accuracy of Provider Information

The Site lists food assistance providers based on information supplied by providers and collected by CFHC and its partners on a periodic basis. Provider hours, eligibility rules, locations, contact information, and the types of assistance offered may change without notice. Neither FastRoots nor CFHC is responsible for any damages or other bad result caused by inaccuracy of information displayed on the Site.

While we make reasonable efforts to keep the directory current, we do not guarantee that the information shown is complete, accurate, or up to date at any given moment. You should call ahead or check directly with a provider before traveling to a site.

The Site functions as a directory. Providers listed on the Site are independent organizations. They are not employees, agents, or partners of FastRoots or CFHC for purposes of the food assistance services they offer. FastRoots and CFHC do not control, supervise, endorse, or warrant the services provided by any listed organization.

5. No Warranty of Food Safety, Eligibility, or Service

THE SITE AND THE INFORMATION IT CONTAINS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

Without limiting the foregoing, FastRoots and CFHC make no representations or warranties about:

  • the safety, quality, freshness, or nutritional adequacy of any food distributed by any listed provider;
  • whether you or anyone you assist will qualify for assistance from any listed provider;
  • whether a listed provider will be open, staffed, or have food available at any given time; or
  • the conduct of any provider, volunteer, or other person you may encounter at a listed location.

Decisions you make based on information shown on the Site are your sole responsibility.

6. Permitted Use

You may use the Site only for personal or other non-commercial purposes related to locating or sharing information about food assistance in Henderson County. You may also share links to the Site and to specific provider listings for these purposes only.

By using the Site, you agree that you will not:

  • use the Site for any unlawful purpose or in violation of these Terms or the Privacy Policy;
  • use any robot, spider, scraper, or other automated means to access the Site, copy provider data in bulk, or republish the directory or any substantial portion of it without prior written permission from CFHC and FastRoots;
  • interfere with or disrupt the Site, the servers or networks used to make the Site available, or any security features of the Site;
  • attempt to gain unauthorized access to any portion of the Site, related systems, or any data not intended for you;
  • frame, mirror, or embed the Site on another website except through the embedded versions of the Food Finder that CFHC has expressly authorized;
  • use the Site to harass, defraud, stalk, or otherwise harm any provider, volunteer, staff member, or neighbor; or
  • remove, obscure, or alter any notice, attribution, or branding displayed on the Site.

7. Embedded Versions on Third-Party Sites

CFHC may authorize the Food Finder to be embedded on third-party websites by means of an iframe or similar technology. When the Food Finder appears on a third-party site under such authorization, these Terms continue to apply to your use of the embedded Food Finder, even though the surrounding webpage is operated by another entity. Any third-party site embedding the Food Finder shall be required to include a visible link to these Terms and the Privacy Policy on the embedding page.

The third-party site's own terms of use and privacy policy govern use of the third-party's site. FastRoots and CFHC are not responsible for the content, practices, or policies of third-party sites that display the embedded Food Finder.

8. Intellectual Property

The Site, including its design, layout, software code, text, graphics, and the FastRoots and CFHC names and logos, is protected by copyright, trademark, and other intellectual property laws. The software code and design of the Site are owned by FastRoots. The provider directory data is owned by CFHC. All rights not expressly granted in these Terms are reserved.

The Terms grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for the personal, non-commercial purposes described in Section 6 herein. No other rights are granted.

9. Third-Party Links and Services

The Site may include links to third-party websites and services, including the websites of food assistance providers, mapping and geocoding services such as OpenStreetMap, map applications used for directions, and transit services. Those third parties are independent of FastRoots and CFHC, and we do not control their content, products, services, or privacy practices. Your use of any third-party site or service is at your own risk and is subject to that third party's terms and privacy policy.

10. Privacy

Our handling of information collected through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference and available at fastroots.org/food-finder/privacy. If you do not agree with the Privacy Policy, you may not use the Site.

11. Disclaimer and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FASTROOTS, CFHC, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, ANY INFORMATION ON THE SITE, OR ANY INTERACTION WITH ANY LISTED PROVIDER, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FASTROOTS AND CFHC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless FastRoots, CFHC, and their respective officers, directors, employees, volunteers, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and/or the Privacy Policy, unauthorized scraping/bulk republication, unlawful manipulation of the Site, or your violation of any law or the rights of any third party in connection with your use of the Site.

13. Suspension and Termination

We may modify, suspend, or discontinue the Site, or any feature of the Site, at any time and without giving notice to Users. We may also restrict access by any User who violates these Terms or the terms of the Privacy Policy. We will have no liability to you for any modification, suspension, or discontinuation of the Site. Prior to any planned discontinuation of the Site, we will give reasonable notice to CFHC so that it may export and preserve the provider data it has supplied for the Site. Our obligations to CFHC regarding that data are otherwise governed by our separate agreement with CFHC.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site that is not resolved informally will be brought exclusively in the state courts located in Henderson County, North Carolina, (or in the federal courts sitting in the Western District of North Carolina in Asheville, and only if such federal courts have exclusive jurisdiction over the dispute) and you consent to the personal jurisdiction of those courts and waive any challenge you may now have or which you may acquire in the future to the jurisdiction of these courts, including but not limited to challenges based on diversity of the parties and/or forum nonconveniens.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FastRoots regarding the Site, and supersede any prior agreements regarding the same subject matter. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision. You may not assign or transfer these Terms or any rights under them; we may assign these Terms to an affiliate or successor without restriction. CFHC is an intended third-party beneficiary of Sections 4, 5, 11, and 12 of these Terms and may enforce them directly.
